1. Agreement to Terms

By accessing or using PrepGraph, Inc. ("PrepGraph", "Service", "Platform", "we", "us", or "our"), a Delaware corporation, you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these terms, you may not access the Service.

These Terms apply to all visitors, users, and others who access or use the Service.

2. Description of Service

PrepGraph provides an AI-powered adaptive learning platform designed to help students prepare for examinations through personalized tutoring, practice sessions, and progress tracking.

The Service includes but is not limited to:

• AI-powered Socratic tutoring sessions
• Adaptive practice problems and assessments
• Progress tracking and analytics
• Learning resource library
• Parent and teacher dashboards
• Performance reports and recommendations

3. User Accounts

3.1 Account Creation

To use certain features of the Service, you must register for an account. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain and promptly update your account information
• Maintain the security of your password and account
• Accept responsibility for all activities under your account
• Notify us immediately of any unauthorized use

3.2 Account Types

We offer different account types:

• Student Accounts: For individual learners
• Parent Accounts: For guardians monitoring student progress
• Teacher Accounts: For educators managing classes
• School/Enterprise Accounts: For institutions

3.3 Age Requirements

Users under 18 must have parental or guardian consent to use the Service. In the United States, users under 13 require verifiable parental consent in accordance with COPPA (Children's Online Privacy Protection Act). In India, the Digital Personal Data Protection (DPDP) Act, 2023 requires parental consent for all users under 18. See our Privacy Policy for how we handle children's data.

4. Subscription and Payments

4.1 Pricing

PrepGraph offers both free and paid subscription plans. Pricing details are available on our pricing page and may change with notice. Plans and billing options vary by country; monthly and annual billing are offered in both India (INR) and internationally (USD).

4.2 Billing

• Subscriptions are billed in advance for each billing period (monthly or annual)
• Where automatic renewal applies, you authorize us to charge your payment method at the start of each billing period, and we will notify you in advance of renewal where required by law
• Payments are non-refundable except as required by law or as described in our Refund & Cancellation Policy
• We use secure third-party payment processors — Razorpay for payments from India and Stripe for international payments (where available); we never store your card details

Supplies to customers in India are made by Prepgraph Private Limited (GSTIN 03AARCP1868M1ZT).

4.3 Cancellation

You may cancel your subscription at any time from your subscription page. Cancellation will take effect at the end of the current billing period. See our Refund & Cancellation Policy for details.

4.4 Free Trial Credits

New accounts may receive free trial credits to experience premium features such as Voice Learning, Mastery Loops, and Ask Doubts. Trial credits expire on their own and never convert into a paid subscription — you will not be charged unless you actively purchase a plan.

5. Acceptable Use Policy

You agree NOT to:

• Use the Service for any illegal purpose or in violation of any laws
• Violate the rights of others, including intellectual property rights
• Share your account credentials with others
• Attempt to gain unauthorized access to the Service or its systems
• Interfere with or disrupt the Service or servers
• Use automated systems (bots, scrapers) without permission
• Reverse engineer, decompile, or disassemble any part of the Service
• Upload or transmit viruses, malware, or malicious code
• Harass, abuse, or harm other users
• Use the Service to cheat on actual examinations

6. Content and Intellectual Property

6.1 Our Content

All content, features, and functionality (including but not limited to text, graphics, logos, software, and algorithms) are owned by PrepGraph or our licensors and are protected by copyright, trademark, and other intellectual property laws.

6.2 Your Content

You retain all rights to content you submit, post, or display on the Service ("User Content"). By submitting User Content, you grant us a worldwide, non-exclusive, royalty-free license to use, copy, modify, and display it for operating and improving the Service.

6.3 Learning Data

Your learning progress, responses, and interactions are used to personalize your experience and improve the Service. This data is handled according to our Privacy Policy.

7. Privacy

Your use of the Service is also governed by our Privacy Policy, which explains how we collect, use, and protect your personal information.

8. Disclaimers and Limitations

8.1 Educational Tool

PrepGraph is an educational tool designed to supplement, not replace, traditional education. We do not guarantee specific exam results or academic outcomes.

8.2 Service Availability

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND. We do not guarantee uninterrupted, secure, or error-free operation of the Service.

8.3 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PREPGRAPH SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE SERVICE.

9. Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice, for any reason, including breach of these Terms.

Upon termination, your right to use the Service will immediately cease. All provisions of the Terms which by their nature should survive termination shall survive.

10. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of significant changes via email or through the Service. Your continued use of the Service after changes constitutes acceptance of the new Terms.

11. Governing Law and Disputes

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to conflict of law provisions.

Any disputes arising from these Terms or your use of the Service shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, except where prohibited by law.

If you are a consumer in India, nothing in these Terms limits any non-waivable rights you may have under Indian consumer-protection law, and you may raise grievances with our grievance redressal contact listed below.
